insightLM END USER LICENSE AGREEMENT
Version 1.1, effective 2026-10-13

PLEASE READ THIS AGREEMENT BEFORE USING insightLM. By selecting "I Agree", or by installing or using the software, you accept this Agreement on behalf of yourself and the organization you use the software for. If you do not agree, do not install or use the software.

1. WHO THIS AGREEMENT IS BETWEEN

This Agreement is between AVIAN, LLC, 22111 Three Notch Road, Lexington Park, Maryland 20653 ("AVIAN", "we") and you, the person or organization installing or using insightLM ("you"). "Software" means insightLM, including insightLM-LT, its installers, portable editions, extensions published by AVIAN, documentation, and any updates we provide.

If you or your organization has a separate written agreement with AVIAN that covers the Software (for example an evaluation, collaboration or license agreement), that agreement controls wherever it conflicts with this one.

2. LICENSE

Subject to this Agreement, AVIAN grants you a limited, non-exclusive, non-sublicensable, non-transferable license to install and use the Software on computers owned or controlled by you or your organization, for your organization's internal business purposes, including evaluating the Software.

3. RESTRICTIONS

Except as this Agreement expressly allows, you will not (and will not allow anyone else to): (a) reverse engineer, decompile, or attempt to discover the source code or underlying ideas or algorithms of the Software, except to the extent applicable law prohibits this restriction; (b) sell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Software; (c) remove any proprietary notices or labels; (d) copy, modify, or create derivative works of the Software, except for copies reasonably needed for backup and for installing on permitted computers; (e) circumvent any license key, activation, or other protection mechanism in the Software; (f) publish the results of any performance or functional evaluation of the Software without AVIAN's prior written approval; (g) use the Software to develop a competing product; or (h) use the Software for any activity prohibited by applicable law.

4. YOUR CONTENT AND DATA

Your files, prompts, and the results the Software produces for you ("Your Content") remain yours. The Software runs on your computer and stores Your Content on your computer or in locations you choose.

When you use the AI assistant, the Software sends the relevant parts of Your Content to the AI model provider configured in the Software (for example Amazon Bedrock), which may be an account you control or one AVIAN provides. That provider's terms also apply to that processing.

The Software contacts AVIAN's servers to check for and download updates and extensions. It sends AVIAN feedback or bug reports only when you choose to send them. When you accept this Agreement, the Software records your acceptance on your computer and, where it can reach the internet, sends a copy to AVIAN. The insightLM Privacy Statement, available from the Help menu, describes this in more detail.

5. AI OUTPUT

Results generated by AI features may be incorrect, incomplete, or inaccurate. AI features are not human and are not a substitute for human review. You are responsible for reviewing and verifying any output before relying on it, including for any engineering, safety, regulatory, or business decision.

6. CONTROLLED AND REGULATED INFORMATION

You are responsible for deciding what information you put into the Software and for complying with any obligations that apply to it, including export control laws (such as the ITAR and the EAR), Controlled Unclassified Information (CUI) handling requirements, and your organization's policies. Using the Software does not, by itself, make your handling of any information compliant with those obligations.

7. FEEDBACK

You may, but are not required to, give AVIAN feedback about the Software. You give feedback "AS IS", and AVIAN may use it freely without any restriction or obligation.

8. OPEN SOURCE COMPONENTS

The Software includes open source components. To the extent the license of an open source component requires, that license applies to that component instead of this Agreement. Notices for the Electron and Chromium components are included in the folder the Software is installed in, and AVIAN will provide the notices for any other component on request.

9. UPDATES AND CHANGES TO THIS AGREEMENT

AVIAN may provide updates to the Software. If AVIAN changes this Agreement, the Software will show you the new version, and you must accept it to keep using the Software.

10. OWNERSHIP

AVIAN and its licensors retain all right, title, and interest in and to the Software. The Software is licensed, not sold. No rights are granted except those expressly stated in this Agreement.

11. TERM AND TERMINATION

This Agreement continues until terminated. You may terminate it at any time by uninstalling the Software and deleting all copies. AVIAN may terminate it by notice to you, or immediately if you breach Section 3 or Section 13. When this Agreement ends, you must stop using the Software and delete all copies. Sections 3 through 8 and 10 through 15 survive termination.

12. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". AVIAN MAKES NO GUARANTEE THAT THE SOFTWARE WILL BE SAFE, SECURE, OR ERROR-FREE, OR THAT IT WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS, OR IMPERFECTIONS. AVIAN DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THESE DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

13. EXPORT CONTROLS

You may not remove or export from the United States, or allow the export or re-export of, the Software or any related technology or materials in violation of any restrictions, laws, or regulations of the United States Department of Commerce, the Office of Foreign Assets Control (OFAC), or any other United States or foreign agency or authority. You represent that you are not (a) a resident or national of an embargoed country; (b) an entity organized under the laws of an embargoed country; (c) designated on any list of prohibited, restricted, or sanctioned parties maintained by the U.S. government or other applicable governments, including OFAC's Specially Designated Nationals and Blocked Persons List; nor (d) 50% or more owned by any party on those lists.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) AVIAN'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT BE MORE THAN THE GREATER OF THE AMOUNT YOU PAID AVIAN FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR US $100; AND (b) UNDER NO CIRCUMSTANCES WILL AVIAN BE LIABLE FOR LOST PROFITS OR REVENUES (WHETHER DIRECT OR INDIRECT), OR FOR CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR INCIDENTAL DAMAGES, EVEN IF INFORMED OF THE POSSIBILITY OF THOSE DAMAGES IN ADVANCE. EXAMPLES INCLUDE LOST OR CORRUPTED DATA, COST OF RESTORING DATA, BUSINESS INTERRUPTION, AND COST OF SUBSTITUTE PRODUCTS. THESE LIMITATIONS APPLY WHETHER THE CLAIM IS IN TORT (INCLUDING NEGLIGENCE), CONTRACT, BREACH OF STATUTORY DUTY, OR OTHERWISE.

15. GENERAL

Government rights. The Software is "commercial computer software" and its documentation is "commercial computer software documentation" under FAR 12.212 and DFARS 227.7202. Any use, modification, reproduction, release, performance, display, or disclosure of the Software by the U.S. Government is governed solely by this Agreement.

Governing law. The laws of the State of Maryland govern this Agreement, without regard to its conflict of laws provisions. Any legal action about this Agreement will be brought in the Circuit Court for St. Mary's County, Maryland, or, where federal jurisdiction exists, the United States District Court for the District of Maryland, Southern Division, and each party submits to the exclusive jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act do not apply.

Entire agreement. Subject to Section 1, this Agreement is the entire agreement between you and AVIAN about the Software. If any term is found unenforceable, the remaining terms stay in effect. AVIAN's failure to enforce a term is not a waiver of it.

Assignment. You may not assign this Agreement without AVIAN's prior written consent. AVIAN may assign it upon notice in connection with a merger, change of control, reorganization, or sale of all or substantially all of its business or assets to which this Agreement relates.

Contact. Questions about this Agreement can be sent to teamAVIAN@avian.com, or by mail to AVIAN, LLC, 22111 Three Notch Road, Lexington Park, Maryland 20653.
